General terms and conditions governing the use of Halifax Consulting's services and platforms.
Preamble
HALIFAX refers to HALIFAX CONSULTING, a SAS with capital of €208,512, registered in the Versailles Trade and Companies Register under number 450 220 512, with its registered office at 15-17 RUE DE PONTOISE – HÔTEL DE CRÉQUY, 78100 SAINT-GERMAIN-EN-LAYE.
HALIFAX specializes in consulting and training, mainly in sales performance, and in the marketing of training and sales support solutions. In this context, Halifax has developed several solutions, including:
- A remote digital content platform
- An asynchronous video-training platform
- Reinforcement solutions
- Serious games
- Adaptive-learning solutions
- Sales-support software (organization diagnostics, portfolio segmentation, business tools)
These solutions are offered either as a catalog or customized to meet clients' specific needs.
1. Scope of Application
These General Terms and Conditions (GTC) govern all services provided by Halifax Consulting, including face-to-face training, remote training, digital learning platforms, consulting services, and related deliverables. They apply to all clients unless specific terms are agreed upon in writing.
2. Services
Halifax provides sales performance consulting, training programs (in-person and digital), coaching, and access to its digital learning platforms. The specific scope, duration, and deliverables of each engagement are defined in the applicable proposal or contract.
3. Intellectual Property
All training materials, methodologies, digital content, software, and related intellectual property remain the exclusive property of Halifax Consulting. Clients receive a non-exclusive, non-transferable license to use materials solely for the purposes defined in the engagement. Reproduction, distribution, or modification without prior written consent is prohibited.
4. Pricing and Payment
Prices are as specified in the applicable proposal. Unless otherwise agreed, invoices are payable within 30 days of issuance. Late payments incur penalties at three times the legal interest rate, plus a fixed recovery fee of €40.
5. Cancellation and Postponement
Cancellation or postponement by the client must be communicated in writing. Cancellations received less than 15 business days before the scheduled date will incur a fee of 50% of the total amount. Cancellations less than 5 business days before the date will be charged at 100%.
6. Liability
Halifax Consulting's liability is limited to direct damages and shall not exceed the total fees paid for the specific engagement giving rise to the claim. Halifax is not liable for indirect, consequential, or incidental damages.
7. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information exchanged during the engagement. This obligation survives the termination of the contract for a period of five years.
8. Data Protection
Halifax processes personal data in accordance with applicable data protection laws, including the GDPR and Singapore's PDPA. For details, see our Privacy Policy.
9. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.
10. Governing Law
These terms are governed by French law. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Versailles, France.
